Preamble

These Terms of Service ("Terms") constitute a binding agreement between [Foooh LLC] (Tax ID [INN], OGRN [OGRN], registered address: [registered address]; the "Provider") and any natural person who uses the Foooh subscription service available at https://foooh.ru and through the Provider's mobile applications (the "Service") — the "User".

By creating an account or paying for a subscription, the User agrees to these Terms in full.

1. Definitions

  • Service — the Foooh software platform available at https://foooh.ru and through the Provider's mobile applications.
  • Subscription — the right to access the paid features of the Service for the period that has been paid for.
  • Account — the User's personal account on the Service.
  • Acceptance — the User's full and unconditional acceptance of these Terms in the manner set out in Section 3.

2. Subject

2.1. The Provider grants the User access to the features of the Service in accordance with the chosen subscription plan, and the User undertakes to pay the price of the Subscription on the terms set out below.

2.2. The Service is provided as software-as-a-service. It is not a regulated educational service or a telecoms service.

3. Acceptance

3.1. The User accepts these Terms by performing any of the following:

  • creating an Account on the Service;
  • paying the price of a Subscription;
  • starting to use any paid feature of the Service.

3.2. From the moment of acceptance, these Terms form a binding agreement between the parties.

4. Pricing and payment

4.1. The current price of each Subscription plan is published at https://foooh.ru/en/pricing and may be changed unilaterally by the Provider. Changes do not affect periods that have already been paid for.

4.2. Payment is processed by CloudPayments using a payment card or any other method available in the checkout form.

4.3. A Subscription may auto-renew: the next period is charged one day before the current period expires unless the User has disabled auto-renewal in the Account.

4.4. Payment is deemed completed when the funds are credited to the Provider's settlement account.

5. Rights and obligations of the parties

5.1. The Provider undertakes to:

  • grant the User access to the Service in accordance with the chosen plan;
  • maintain the Service operational and address reported defects within a reasonable time;
  • notify Users of changes to pricing or terms of service at least 14 days in advance.

5.2. The Provider may:

  • temporarily suspend access to the Service for maintenance;
  • suspend or terminate the Account where the User breaches these Terms or applicable law.

5.3. The User undertakes to:

  • provide accurate information at registration and keep it up to date;
  • pay for the Subscription on time;
  • not use the Service for unlawful purposes, including the distribution of malware, spam or material that infringes the rights of third parties.

5.4. The User may:

  • use the Service within the limits of the chosen plan;
  • cancel the Subscription and delete the Account at any time.

6. Refunds

6.1. The User may cancel the Subscription at any time. Refunds for the unused portion of the current paid period are issued on a pro-rata basis upon request to support@foooh.ru from the email address associated with the Account.

6.2. Refunds are processed within 10 business days of receipt of the request.

6.3. No refund is owed in respect of periods during which the Service was made available to the User and used by them.

7. Intellectual property

7.1. All intellectual property rights in the Service, including the underlying software, content, branding and trademarks, belong to the Provider or its licensors.

7.2. The User retains all rights to content the User uploads to the Service. By uploading content, the User grants the Provider a limited licence to host, process and display that content for the sole purpose of operating the Service.

8. Liability

8.1. The Service is provided on an "as is" and "as available" basis. The Provider does not guarantee that the Service will meet all of the User's expectations or operate without interruptions.

8.2. To the maximum extent permitted by law, the Provider's aggregate liability to the User is limited to the price of the Subscription paid for the period in which the event giving rise to the claim occurred.

8.3. The Provider is not liable for damage caused by acts of third parties or by circumstances beyond the Provider's reasonable control (force majeure, network outages, acts of public authorities, etc.).

9. Term and termination

9.1. These Terms enter into force upon Acceptance and remain in effect until terminated by either party.

9.2. The User may terminate at any time by ceasing to use the Service and deleting the Account.

9.3. The Provider may terminate immediately for material breach of these Terms by the User, with 7 calendar days' prior notice where reasonably practicable.

10. Changes

10.1. The Provider may amend these Terms. The current version is always published at https://foooh.ru/en/legal/offer.

10.2. Continued use of the Service after publication of an amendment constitutes acceptance of the new version.

11. Governing law and disputes

11.1. These Terms are governed by the law of the Russian Federation.

11.2. Any disputes that cannot be resolved by negotiation shall be brought before the competent court at the Provider's registered address, unless mandatory consumer protection rules require otherwise.
